Seagate Technology Corporate Governance

At Seagate, we take corporate governance seriously, and we are committed to maintaining our record of meeting ethical and legal standards, throughout our business operations.

Seagate has a reputation for conservative, transparent accounting; at the same time, we recognize that we must continually improve our processes and internal controls to ensure that our financial statements are accurate.

Toward that aim, Seagate's board of directors has expanded the scope of its audit committee to take a more active role in reviewing the company's financial results. Seagate has a disclosure committee, made up of the heads of key business functions, which reviews sales trends, product-quality issues, production issues and, other factors that might have a material effect on the business. And we're working closely with our external auditor to ensure that the company is on track to continue to comply with the Sarbanes-Oxley Act and other federal securities and corporate laws.

To help maintain the company's high ethical standards, the board of directors has approved adoption of a Seagate Code of Business Conduct and Ethics. This Code summarizes the company's ethical standards and key policies in such areas as insider trading, conflicts of interest, fair dealing, and more.

However, Seagate realizes that merely complying with existing laws may not be enough. Rather, the company strives to be forward-thinking, anticipating emerging trends and identifying any gaps so that it can implement effective solutions. As such, we are working closely with key customers and suppliers to identify corporate governance procedures that will best enable Seagate to uphold its reputation for being a responsible corporate citizen.
