1. Description. Iguazio is an end-to-end data management software with managed data engineering, data science, and MLOps capabilities.
  2. License Grant. During the Services Period, Company is granted a nonexclusive, non-transferable, non-assignable, worldwide right and license to (a) access and use the executable code versions of the Iguazio software application(s), and all updates to such software applications generally made available as part of support services (“Software”) in connection with Lyve Cloud Services; and (b) grant access to and provide use of Software to Users. The fees charged for the licenses granted herein are subject to the number of Users, computer units, and either CPU or GPU server count as selected by Company.
  3. Restrictions. Company will, and will ensure that Users will, use the Software only as permitted under the Agreement and this Services Agreement. Company will not, nor direct or allow any User or other third party to (a) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas, know-how or algorithms relevant to the Software; (b) modify, translate, or create derivative works based on the Software, (c) circumvent any security control or access mechanism of the Software. Company will not, and will not direct Users to use the Software for unlawful activity. Any reference in this Agreement or any documentation to the “sale” of the Software means only the provision of a license pursuant to the terms and conditions of this Agreement. Any agreement granting rights to the Software to a User will contain a provision that expressly restricts any reverse engineering of the Software.
  4. Maintenance. Included in the fees, Company will be provided any new releases, improvements, modifications, upgrades, updates, fixes and additions to the Software that are offered or made generally available to all customers. During the Services Period, the Software will be maintained, generally, in keeping with good industry practices.
  5. Support Services. Where there is a need for technical support services for the Software, Company will engage with Seagate in accordance with the terms and conditions set forth in the Technical Support Services Agreement Addendum identified for Lyve Cloud Services in the Agreement.
  6. Implementation Services. Each time Company requests a new User of the Software, the Software will need to be installed on a server designated by Company. Company will need to consent to Seagate or Seagate’s contractor having access to the server for the installation of the Software.  Training for the Software is provided in the form of on-line user guides, knowledge-base and tutorial videos only.
  7. Professional Services. If any development, consulting, or integration services are mutually agreed to by the parties, such agreement will be documented in an applicable Statement of Work (“Professional Services”). Each Statement of Work shall be an integral part of this Agreement, and such Professional Services shall be performed at the fees set forth on such Statement of Work.
