Earn a Learning Competency Badge and receive an e-gift card as depicted in Appendix A, subject to these Official Rules.

MEMBERSHIP REGISTRATION

To participate in this Promotion, your business must be a member of the Seagate Partner Program (“SPP”). To become a member of the SPP, you must complete the registration and profile form provided at the Registration Page found at www.seagate.com/partners. The person registering must be at least 18 years old and must have reached the age of majority in the country, state or province of such person’s residence and must be authorized to register on behalf of the registrant company/member. Each SPP registrant must provide true, accurate and complete information about the registrant and his/her company as prompted by the registration form (“Registration Data”), and must maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You acknowledge and agree that we may send you important information and notices regarding your membership and SPP by email.

By entering this Giveaway (the “Promotion”), entrants/registrants agree to be bound by these Official Rules.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO RECEIVE THE GIVEAWAY. OPEN ONLY TO “SPP MEMBERS RESIDING IN THE BELOW ELIGIBLE COUNTRIES: USA, CANADA, GERMANY, UK, FRANCE, AUSTRALIA, VIETNAM, THAILAND, SINGAPORE, MALAYSIA, INDONESIA, PHILIPPINES. VOID WHERE PROHIBITED BY LAW. There is no cost to earn the Learning Competency badge (the “Badge”). To receive an e-gift card as depicted in Appendix A (the “Promotion Giveaway”), participating SPP members must COMPLETE training requirements to earn a competency Badge in the Seagate Training Portal (see below for URL) FROM January 22, 2026 at 09:00 AM PACIFIC TIME (“PT”) to February 22, 2026 at 11:59 PM PT (the “PROMOTION PERIOD”). Employees (and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of  Seagate Technology LLC (“Sponsor”), and its parent, affiliates, subsidiaries and advertising and promotion agencies or any other individuals or entities engaged in the development, production, or distribution of materials for this Promotion are not eligible to receive a Promotion Giveaway. By participating, registrants and attendees agree to be bound by these Official Rules and the decisions of the Sponsor, which are binding and final on all matters relating to this Promotion.

ENTRY: During the Promotion Period, access the Seagate Training Portal via the SPP Partner Portal at https://program.seagate.com/land. Once logged in, navigate to the Catalogue and select a Learning Path from the menu on the left side of the page. To earn a Badge, an SPP member must enroll in the designated Competency and complete all required training activities. Seagate’s training platform will monitor, and record Competency training completions required to satisfy eligibility requirements to receive a Promotion Giveaway by participating SPP member (the “Recipient”). The number of Promotion Giveaways awarded is limited to the number of Badges earned by an SPP member during the Promotion Period. Promotion Giveaways are non-transferable and cannot be substituted, assigned, or redeemed for cash. However, the Sponsor reserves the right, at its sole discretion, to substitute a Promotion Giveaway with one of equal or greater value. Receipt of a Promotion Giveaway by a SPP member is subject to the express requirement that they submit to Sponsor (or the relevant tax authority) all documentation requested by Sponsor to permit it to comply with any applicable federal, state, provincial, local and foreign tax reporting and withholding requirements. All prizes will be net of any taxes if Sponsor is required by law to withhold. All taxes imposed on Promotion Giveaways are the sole responsibility of the recipient of the Promotion Giveaway, regardless of whether taxes have been so withheld. Each Recipient is responsible for ensuring that (s)he complies with all applicable tax laws and filing requirements. If a Recipient fails to provide such documentation or comply with such laws, the Promotion Giveaway may be forfeited.

CONDITIONS IMPOSED ON REGISTRANTS: The Recipient who have completed all requirements to earn at least one (1) Badge will receive the Promotion Giveaway (via electronic communication via Sponsor’s fulfillment partner Sender, Inc [email protected]) within 30 days after the promotion ends. If such notification is returned as undeliverable, Sponsor is unable to contact a Recipient within a reasonable time period, or Recipient is not in compliance with these Official Rules, the Promotion Giveaway may be forfeited. Delivery of the Promotional Giveaway is fulfilled by third party company – Sender, Inc. according to its data processing addendum at: https://www.sendoso.com/data-processing-addendum. Expiration dates are made available with the Promotional Giveaways. Additional terms and conditions apply.

ENTRANTS’ PERSONAL INFORMATION AND PRIVACY NOTICE: By submitting your personal information, you consent to Sponsor’s collection, use, transfer, and disclosure of your personal information including without limitation, as described in these Official Rules. Administration of the Promotion may require disclosure of your personal information to third parties, including local regulatory authorities and the Sponsor’s agents or third party service providers, including service providers located outside the country in which you are located. You acknowledge and accept such disclosure and that the third parties may not be subject to data protection laws that are of the same standard as the applicable data protection laws in your country. For additional details on how Sponsor manages the personal information it collects, please see Sponsor’s Privacy Statement, available at http://www.seagate.com/about/legal-privacy/privacy-statement/. If you opt-in for future communications, your personal details will be used to provide information regarding Sponsor's products, service offerings and details of future promotions, consistent with applicable law. In the event of an inconsistency between these Official Rules and the Sponsor’s Privacy Statement, these Official Rules shall prevail.

RELEASE OF TECHNICAL LIABILITY: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE THE SPP PORTAL OR TRAINING WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered or garbled entries or registrations; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind which may occur for reasons beyond the reasonable control of the Released Parties, whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion. Released Parties are not responsible for injury or damage to entrants' or to any other person's computer related to or resulting from participating in this draw or downloading materials from or use of the training website.

GENERAL CONDITIONS: Except where prohibited by local law, by participating in the Promotion, each participant agrees that Sponsor, and their respective parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any Promotion Giveaway. Persons who tamper with or abuse any aspect of the Promotion, or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified from receiving a Promotion Giveaway. This Promotion is governed by State of California, United States of America law and is subject to all applicable federal, provincial, state, and local laws. Any and all legal actions or claims arising in connection with this draw must be brought in a court of competent jurisdiction in the County of Santa Clara, California, United States of America.

RIGHT TO MODIFY OR TERMINATE PROMOTION: Should any portion of the Promotion be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of registrations, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion. If any provision of these Official Rules is invalid under the law, rules or regulations of a particular country or locality, the invalidity of such provision shall not affect the validity of the remaining provision.
